PARTNER+ PROGRAM: AFFILIATE TERMS & CONDITIONS

DEFINITIONS

For purposes of this Agreement:

  • Affiliate / Partner+ Member / you – an approved participant in the BioLimitless Partner+ Affiliate Program.
  • BioLimitless / we / us – BioLimitless, LLC, the operator of the Program.
  • Program – the BioLimitless Partner+ Affiliate Program.
  • Referral Link – your unique tracking link, referral code, or other BioLimitless-approved attribution method used to attribute sales to you.
  • Customer – any person whose Eligible Sale is attributed to you through a valid Referral Link or other approved attribution method.
  • Eligible Sale – a completed, valid, non-fraudulent purchase of eligible BioLimitless products or services that is fully paid, not refunded, reversed, charged back, canceled, or otherwise disqualified, and that meets all Program rules.
  • Team Sales – aggregate eligible sales volume generated by your referred Affiliates and their networks, counted toward Bonus Pool qualifications.
  • Pools / Bonus Pools – the Individual and Team pools funded as described in Section 4.
  • Affiliate Area / Partner Ops Dashboard – the private dashboard where Affiliates can access links, creatives, reporting, and Program information.
  • Inactive Status – the state of an Affiliate account when the account is canceled, under review, suspended, or otherwise restricted by BioLimitless, during which no new commissions accrue unless BioLimitless states otherwise.

Good Standing – when an Affiliate’s account is active and the Affiliate is in compliance with this Agreement and Program policies.

 

INDEPENDENT CONTRACTOR RELATIONSHIP

  • Independent status. Partner+ Affiliates are independent contractors. You are not an employee, agent, legal partner, fiduciary, franchisee, or representative of BioLimitless. Participation in the Program does not create any partnership, joint venture, fiduciary duty, franchise, or employment relationship of any kind.
  • No authority to bind. Affiliates may not represent themselves as anything other than independent Affiliates and may not make commitments, warranties, or representations on behalf of BioLimitless. Affiliates have no authority to bind BioLimitless in any contract, agreement, or obligation.
  • Branding clarification. The use of the “Partner+” or “Partner Plus” name is for Program branding only and does not change this independent status.
  • Responsibility and non-exclusivity. Affiliates are responsible for their own business activities, including their own taxes, legal compliance, and expenses. Nothing in this Agreement grants exclusivity; BioLimitless may operate other affiliate or referral programs, work with other Affiliates, or sell directly at its discretion.

 

ELIGIBILITY & PARTICIPATION

  • Eligibility. To join the Program, you must be at least 18 years of age and legally able to enter into this Agreement and participate in the Program under applicable law in your jurisdiction. Applications are reviewed and moderated, and BioLimitless may approve or reject any application at its sole discretion.
  • Program fee. Participation in the Program requires payment of a one-time Partner+ Affiliate Program fee, currently $497.00 USD, unless otherwise stated by BioLimitless. This fee is non-refundable except where required by applicable law.
  • Inactive status. If your account is under review for any reason (including fraud, misconduct, or other policy concerns), your account may be placed on Inactive Status. During inactivity, Affiliate links and dashboard access may be disabled, and no new commissions will accrue. Commissions earned prior to inactivity remain payable in accordance with Program rules, subject to applicable holding periods, reversals, and forfeiture timelines.
  • Right to refuse or revoke. BioLimitless may refuse, suspend, or revoke participation in the Program at its discretion if you violate this Agreement or engage in conduct deemed harmful to the brand or Program.

 

COMMISSIONS

  • Structure. The Partner+ Affiliate Program uses a unilevel affiliate structure with the opportunity to earn commissions up to five levels deep:
    • Level 1: 15% commission on eligible sales made by customers you personally refer.
    • Level 2: 5% commission on eligible sales credited to Affiliates you directly referred.
    • Level 3: 3% commission on eligible sales credited to Affiliates in the third level of your referral network.
    • Level 4: 2% commission on eligible sales credited to Affiliates in the fourth level of your referral network.
    • Level 5: 1% commission on eligible sales credited to Affiliates in the fifth level of your referral network.
       This structure rewards both your personal effort and the growth of your network.
  • Recurring subscriptions. Affiliates earn commissions on eligible subscription renewals (including Subscribe & Save or other recurring orders) for referred customers, provided both the Affiliate and the customer remain in good standing.
  • Lifetime attribution. Customers are permanently assigned to the first Affiliate whose Referral Link resulted in a valid purchase. Any future purchases made by that customer through the same BioLimitless account will remain attributed to that Affiliate, provided the Affiliate remains in good standing.
  • Exclusions. No commissions are paid on: Partner+ Affiliate Program fees, an Affiliate’s own purchases, taxes or shipping, refunds or returns where applicable, fraudulent orders, chargebacks, or policy-violating activity.
  • Adjustments. Commission percentages, bonuses, or promotions may vary by product line, SKU, or special promotion. Updates will be published and/or communicated through digital channels, which may include the Affiliate Area, email, dashboard posts, videos, or other methods BioLimitless reasonably uses. BioLimitless may withhold or reverse commissions for fraudulent, ineligible, or out-of-policy activity.

 

Commission Payouts

  • Frequency. Commissions are calculated and paid on a monthly basis.
  • Threshold. There is no minimum commission payout threshold. Eligible commissions will be paid in accordance with the payout timing and other applicable terms of this Agreement.
  • Holding period. To allow time for order verification, fraud review, chargebacks, and other adjustments, commissions are generally reviewed in the month following the month in which the eligible order was placed and are typically processed within the first five days of the following month. For example, commissions on eligible orders placed in January are generally reviewed in February, with payment initiation typically occurring between March 1 and March 5.
  • Currency & methods. Payouts are made in U.S. dollars (USD) through approved payment methods made available by BioLimitless, which may include ACH, debit card for U.S. Affiliates, or other methods listed in the Affiliate Area. Affiliates are responsible for any processing, transfer, currency conversion, or similar fees charged by the payout provider or receiving institution.
  • Inactive or terminated accounts. If an account becomes inactive or is terminated, commissions earned prior to inactivity or termination remain payable in accordance with this Agreement if claimed within 90 days. Any unclaimed balances after 90 days may be forfeited in accordance with this Agreement.

 

BONUS POOLS

BioLimitless designates 2% of all Eligible Sales for the Individual Bonus Pool and another 2% for the Team Bonus Pool. These Pools are designed to reward both personal achievement and team leadership, while the 50% Rule ensures balance and prevents over-reliance on a single source.

Individual Bonus Pool

    • Affiliates qualify for 1 share once they reach $5,000 in personal sales volume in a monthly cycle.
    • Reaching $10,000 qualifies for 3 total shares (1 share for $5,000 + 2 additional shares at $10,000).
    • Each additional $10,000 qualifies for 3 more shares.
    • 50% Rule Applied:
      • For the $5,000 qualification, no more than $2,500 may come from a single customer.
      • For the $10,000 qualification, no more than $5,000 may come from a single customer.
    • Examples:
      • $5,000 = 1 share (must include at least $2,500 from sources other than the top customer).
      • $10,000 = 3 shares (at least $5,000 from multiple customers; 1 share for $5,000 + 2 shares for $10,000).
      • $20,000 = 6 shares.
      • $30,000 = 9 shares.
      • $40,000 = 12 shares.
      • And so on….
    • Reset: Shares reset each monthly cycle; calculations restart at zero.

 

Team Bonus Pool

    • Teams qualify for 1 share once they generate $50,000 in total team sales volume in a monthly cycle.
    • Reaching $100,000 qualifies for 3 total shares (1 share for $50,000 + 2 additional shares at $100,000).
    • Each additional $100,000 qualifies for 3 more shares.
    • 50% Rule Applied:
      • For the $50,000 qualification, no more than $25,000 may come from a single referral line.
      • For the $100,000 qualification, no more than $50,000 may come from a single referral line.
    • Examples:
      • $50,000 = 1 share (at least $25,000 from multiple legs).
      • $100,000 = 3 shares (at least $50,000 from multiple legs; 1 share for $50,000 + 2 shares for $100,000).
      • $200,000 = 6 shares.
      • $300,000 = 9 shares.
      • $400,000 = 12 shares.
      • And so on.
    • Reset: Shares reset each monthly cycle; calculations restart at zero.

 

Bonus Pool Payments & Distribution

    • Bonus Pools are divided by the total number of qualifying shares each cycle, then distributed proportionally to all qualifying Affiliates.
    • Bonus Pool payouts are separate from standard commission payouts. Commissions are paid through the payout service described in Section 3.1, while Bonus Pool payouts follow a different process.
    • The specific method and timing of Bonus Pool payouts will be published or communicated by BioLimitless through the Affiliate Area or other official communication channels.
    • The 50% Rule is enforced in all cases to ensure balanced growth and prevent dependency on a single customer or referral leg.

 

USE OF MARKETING MATERIALS

  • Approved resources only. Affiliates may use only BioLimitless-approved marketing materials provided in their Affiliate Area / Partner Ops Dashboard, or other official Program resources.
  • No alterations. Affiliates may not modify, alter, or create derivative works of BioLimitless trademarks, logos, product images, or copyrighted content without prior written consent.
  • No confusing registrations! Affiliates may not register, purchase, or use any domain names, URLs, social media handles, account names, or other online identities that include “BioLimitless,” “Partner+,” “Partner Plus,” or any confusingly similar variation. If this occurs, the Affiliate must remove or relinquish such assets immediately. Noncompliance may result in warnings, account deactivation, forfeiture of unpaid commissions, and potential legal action.
  • Independent identification & disclosures. Affiliates must clearly identify themselves as independent Affiliates and not as employees, agents, or official representatives of BioLimitless. Affiliates must also make any legally required advertising or endorsement disclosures, including clear and conspicuous disclosure of their material connection to BioLimitless where applicable.
  • Right to revoke. BioLimitless reserves the right to revoke or limit an Affiliate’s right to use marketing materials or brand assets at any time, at its discretion. Noncompliance may result in warnings, suspension, account deactivation, forfeiture of unpaid commissions, and potential legal action.
  • Legal compliance. Affiliates must comply with all applicable laws, regulations, and platform rules in connection with their participation in the Program and promotional activities, including applicable endorsement, testimonial, advertising, privacy, and consumer-protection requirements.
  • Prohibited claims. Affiliates may not make any false, misleading, deceptive, or unsubstantiated claims, including health-related claims, earnings or income claims, or guarantees of results.
  • Advertising practices. Affiliates may not engage in spam, unsolicited communications, cookie stuffing, ad fraud, trademark bidding, or unauthorized paid search. Use of “BioLimitless,” “Partner+,” or BioLimitless product names in paid advertising is prohibited unless expressly authorized in writing by BioLimitless.
  • Taxes. Affiliates are responsible for reporting and paying all applicable taxes on their commissions and must provide required tax documentation when requested.
  • Consequences. Any violation of these obligations may result in warnings, suspension, account deactivation, forfeiture of unpaid commissions, and potential legal action.

 

Termination

  • Right to terminate. BioLimitless may suspend or terminate an Affiliate’s participation in the Program at any time, with or without cause.
  • Immediate termination. Grounds for immediate termination include, but are not limited to, violation of this Agreement, misuse of BioLimitless intellectual property, fraudulent activity, false or prohibited claims, or conduct deemed harmful to the brand.
  • Effect of termination. Upon termination, all rights to use BioLimitless materials and brand assets must cease immediately. Pending or unpaid commissions may be forfeited if tied to violations, fraud, or ineligible activity.
  • Survival. Affiliates remain bound by obligations that survive termination, including restrictions on intellectual property use and compliance responsibilities.

 

Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict of law principles.

  • Any dispute arising out of or relating to this Agreement or the Program shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in Missouri, or remotely, in accordance with the applicable AAA rules.

  • Affiliates waive the right to participate in class actions, collective proceedings, or jury trials related to the Program.

 

Modifications

  • BioLimitless reserves the right to update, modify, or replace this Agreement, the Program rules, commission structures, eligibility requirements, or other Program terms at any time.
  • Affiliates will be notified of material changes via email, Affiliate Area / Partner Ops Dashboard notice, or other official communication channels used by BioLimitless.
  • Continued participation in the Program after changes are posted or communicated constitutes acceptance of the updated terms.

 

Entire Agreement

  • This Agreement, together with any policies or Program materials incorporated by reference, constitutes the entire agreement between the Affiliate and BioLimitless regarding participation in the Partner+ Affiliate Program. It supersedes all prior agreements, communications, or understandings, whether written or oral.

 

Severability & Waiver

  • If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Failure by BioLimitless to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
